Cordially Wed

1. Definitions

• "We," "us," "our" — Cordially Wed, registered in New York, United States.
• "Platform" — the Cordially Wed software, website at cordiallywed.com, and all associated services.
• "Host" — any individual or business that creates a Cordially Wed account to manage an event.
• "Guest" — any individual whose data is uploaded by a Host.
• "Event" — the wedding or event managed via the platform.
• "Planner Trial" — time-limited access at no charge during the 14-day Cordially Planner trial.
• "Cordially Planner" — the year-round planner CRM, offered as a recurring Pro or Studio subscription (monthly or annual) with a 14-day free trial.
• "Couples Product" — the self-service wedding planning and guest messaging product for couples. Optional guest messaging plans are sold as a one-time payment based on unique guest phone numbers. Guest Concierge is an optional monthly subscription that ends after the wedding month.

2. Eligibility and account registration

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. The service

Cordially Wed provides tools to manage guest lists, deliver Apple Wallet and Google Wallet passes, send push notifications and WhatsApp messages, collect RSVPs, manage event schedules, and coordinate guest communications.

We reserve the right to modify, suspend, or discontinue any part of the platform at any time with reasonable notice.

4. Planner trial

Eligible new planner accounts receive a 14-day trial. A paid Cordially Planner Pro or Studio subscription is required to continue using planner workspaces after the trial and to send live guest communications. The subscription includes wedding-execution workspaces; there is no separate one-time or per-wedding planner platform fee.

5. Fees and payment

Cordially Planner: recurring subscription fee, billed monthly or annually via Stripe. Current published pricing is available at cordiallywed.com/#pricing. A 14-day free trial is available to new accounts at our discretion; no payment instrument is required to start the trial.

Couples Product: optional guest messaging is a one-time payment based on the number of unique guest phone numbers included in the selected plan. Current published pricing is shown in the Couples Product before checkout. Guest Concierge is a separate monthly subscription. It is billed until the end of the month that contains your wedding date, then it stops on its own.

All fees are exclusive of applicable taxes and are settled in the currency displayed at Stripe Checkout.

6. Refund policy

Abuse and policy violations: if we suspend or terminate your account for violating these Terms — including Section 7 (acceptable use), fraud, phishing, spam, or other abusive or unlawful use of guest messaging — you are not entitled to a refund of any fees paid, and we may withhold or revoke access without refund except where required by applicable law.

Cordially Planner subscriptions: cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months or years.

Couples Product one-time payments: once guest messaging access has been used, payments are non-refundable except where required by law or at our sole discretion. Contact [email protected].

Guest Concierge subscriptions: cancellation takes effect at the end of the current billing period, or earlier if you cancel from Settings. The subscription also ends after the wedding month. No prorated refunds are issued for partial months except where required by law. Contact [email protected].

7. Host responsibilities and acceptable use

• Use the platform solely for legitimate event communication
• Ensure you have obtained all necessary consents from Guests before uploading their data
• Do not send unsolicited commercial messages or spam
• Guest lists may include children. Do not create an account for anyone under 18
• Do not violate applicable law including UK GDPR and PECR
• Do not reverse engineer or resell any part of the platform

8. Guest data and data processing

When you upload Guest data, you act as data controller and we act as data processor under UK GDPR. A Data Processing Agreement is available on request.

9. Intellectual property

All IP rights in the platform are owned by Cordially Wed. You retain rights in your uploaded content and grant us a limited licence to store and transmit it for service delivery.

10. Third-party services

The platform integrates with Apple, Meta, Twilio, Stripe, Firebase, MongoDB Atlas, Railway, Cloudflare, and Resend. Delivery of communications depends on third-party infrastructure outside our control.

11. Disclaimer of warranties

The platform is provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law.

12. Limitation of liability

Total aggregate liability shall not exceed fees paid in the preceding 12 months or £500, whichever is greater. We shall not be liable for indirect, consequential, or punitive damages.

13. Indemnification

You agree to indemnify Cordially Wed from claims arising from your breach of these terms, violation of law, infringement of third-party rights, or content you upload.

14. Termination

You may terminate at any time by contacting us. We may suspend or terminate accounts for material breach without notice. Termination for breach does not entitle you to a refund; see Section 6.

15. Changes to these terms

Material changes notified 14 days in advance via email. Continued use constitutes acceptance.

16. Governing law

These terms are governed by the laws of the State of New York, United States. Disputes are subject to the courts of the State of New York.
